UK Director Business Club Membership Terms & Conditions
- Membership
1.1 There is currently one category of membership of the UK Director Business Club run by SAW Media Ltd (the Organisation) but it is planned to have an upgraded Premium UK Director Business Club membership in the future.
1.2 Members must satisfy the Organisation’s prescribed membership criteria for the UK Director Business Club and be either an owner, director, partner or senior decision maker of a business, to apply / join. A member agrees to follow the Organisation’s (Saw Media) Code of Conduct.
1.3 Members may upgrade or downgrade their membership (if applicable) on satisfying the prescribed membership criteria.
- Member Services
A full list of member services is given in the UK Director Business Club Membership Agreement.
- Membership Term
The term will be for a minimum of 12 months from the date of joining and will be renewed automatically unless two months’ notice is given to cancel in advance.
- Membership Fees
4.1 Membership of the UK Director Business Club and access to member services is conditional upon the payment of the appropriate subscription fee given in the Membership Pack.
4.2 Subject to clause 7, Members are not entitled to a refund of any subscription fees following termination or cancellation of membership.
- Membership Automatic Renewal
5.1 Your annual membership will be automatically renewed after 12 months of joining, for an additional 12 months from (Renewal Date), unless two months written notice has been given to cancel, prior to the renewal date.
5.2 The company reserves the right, at its sole discretion, to charge additional administration fees to renew membership after the Renewal Date.
- Right to Cancel Membership
Members shall have a right to cancel their automatic renewal of membership provided two months written notice has been given to the company.
- Membership Termination
7.1 A Member may terminate his or her membership by providing two months’ notice to the Company, subject to clause 7.2 and 7.3 below.
7.2 A Member shall cease to be a Member:
- on the expiry of two months’ notice to the Organisation of his or her resignation as a Member.
- if any subscription or other sum payable by the Member to the Organisation is not paid by the due date and remains unpaid 28 days after notice has been served on the Member by the Organisation informing the Member that membership will be terminated if it is not paid.
- if the Company resolves that the Member be expelled. Such a resolution shall not be passed unless the Member has been given not less than 14 days’ notice of the fact that the resolution is to be proposed, specifying the misconduct or circumstances alleged to justify expulsion, and has been afforded a reasonable opportunity of being heard by, or of making written representations to, the Organisation.
- if the company exercises its right to sanction the Member with expulsion in accordance with their Code of Conduct Procedures.
7.3 Any Member who ceases to be a Member in accordance with clause 7.2 shall remain liable for all subscriptions and any other sums due from the Member up to and including the date when s/he ceases to be a Member.
- Membership Rejection
8.1 An application for membership or for transfer from one category (or sub-category) of membership to another shall be determined by the Company which may in its absolute discretion decline to accept an applicant as a Member.
8.2 Members are advised that the Company may also, in certain circumstances, reassess the Membership Grade of any Member whose Membership was terminated or ended
- Intellectual Property Rights
9.1 All Intellectual Property which exists in the materials provided to Members as part of the member services are owned by the Organisation and/or its content providers.
9.2 Membership does not confer any right to use the Organisation’s Intellectual Property, including the Organisation’s brand and logo, except where expressly provided in writing.
9.3 The Member shall not:
- licence, sell, rent, lease, transfer, assign or otherwise commercially exploit materials, including passwords, provided to the Member by the Organisation; or
- licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the member services available to any third party.
- Force Majeure
In the event of Force Majeure, the Organisation shall not be deemed to be in breach of these Terms and Conditions and in particular, shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the Member.
- Variation
At its absolute discretion, the Organisation may at any time alter, amend, change, modify or withdraw any of the membership benefits that comprise the membership offering. It will be your responsibility to keep up-to date with all such changes and your membership renewal and continued use of the member services shall be deemed acceptance of any changes to these Terms and Conditions.
- Notice
Any notice to be given under these Terms and Conditions shall be in writing, which shall include electronic communication to the email address you provide.
- Data Protection
For your security and peace of mind, the Organisation and its Subsidiaries will not supply your details to any organisation for marketing purposes. By accepting these Terms and Conditions, you agree to the use of your information as set out in our Privacy Notice Policy.
Privacy Notice: The Organisation respects your privacy and is committed to protecting your personal data. Our privacy notice explains your rights in respect of your personal data and how we collect it and why we use it. Our full policy can be found on our website www.ukdirectormagazines.co.uk .
It is important that you read this privacy notice together with any other privacy notice or fair processing notice we may provide on specific occasions when we are collecting or processing personal data about you so that you are fully aware of how and why we are using your data.
This privacy notice supplements other notices regarding data collection or processing arrangements in relation to specific partnerships, projects or events that we may publish from time to time and is not intended to override them (see separate Privacy Notice).
- Governing Law and Jurisdiction
This contract shall be governed by English law. The parties irrevocably submit to the exclusive jurisdiction of the courts of England.
- Interpretation
These Terms & Conditions have been written under the plain meaning rule. Meaning that the words used in this legal text are to be explained or understood in their natural, simple or dictionary meaning.
